Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your use of the TokenRouter website, console, and gateway API (the "Service") operated by TokenRouter LLC, a New Jersey limited liability company located in Marlton, New Jersey 08053 ("TokenRouter", "we", "us"). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
2. The Service
TokenRouter is an AI gateway: it accepts API requests from your applications and routes them to third-party AI model providers using credentials you supply ("BYOK"). We provide budgets, rate limits, model access controls, and usage analytics on top of that routing. We are not a reseller of provider capacity; your relationship with each provider — including its terms, pricing, and acceptable-use policies — is between you and that provider.
3. Accounts and API keys
You are responsible for safeguarding your account credentials and API keys (including tr_ gateway keys and any provider keys you upload), and for all activity under them. Notify us promptly at support@tokenrouter.io if you suspect unauthorized use. You must be at least 18 years old to use the Service.
4. Subscriptions, trials, and billing
The Service is offered on flat monthly subscription plans. New subscriptions begin with a 14-day free trial that requires a valid payment method; your card is charged when the trial ends unless you cancel first. Subscriptions renew monthly until cancelled. You can cancel at any time via the billing portal; cancellation takes effect at the end of the current billing period. Except where required by law, payments are non-refundable. We may change plan pricing with at least 30 days' notice; changes apply from your next renewal.
Fees paid to TokenRouter cover the gateway subscription only. Token usage is billed directly to you by your AI providers under your own accounts — TokenRouter adds no markup and collects no payment for tokens. Fees are exclusive of taxes; you are responsible for any applicable sales, use, or similar taxes, excluding taxes on our income.
5. Acceptable use
You agree not to:
- use the Service to violate any law or the rights of others;
- use the Service in violation of the acceptable-use policies of the AI providers you route to;
- attempt to probe, disable, overload, or circumvent the Service's security or usage controls (including budgets, quotas, and rate limits);
- resell the Service without our prior written consent;
- upload provider credentials you are not authorized to use; or
- use the Service in violation of U.S. export control or sanctions laws, or if you are located in an embargoed country or on a U.S. government restricted party list.
6. Your content
You retain all rights to the prompts, completions, and other content you route through the Service. We process that content transiently and solely to provide the Service, and we do not store it — we retain only usage metadata such as token counts, cost, and latency, as described in our Privacy Policy. We do not use your content to train models.
7. Intellectual property
The Service — including its software, documentation, and the TokenRouter name and logo — is owned by TokenRouter LLC and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription in accordance with these Terms. No rights are granted except as expressly set out here. Feedback you choose to send us may be used to improve the Service without obligation to you.
8. Third-party providers
Model outputs are produced by third-party providers, not TokenRouter. We make no warranties about the accuracy, availability, or fitness of any provider or model, and we are not liable for provider outages, pricing changes, deprecated models, or content produced by models.
9. Disclaimer of warranties
We aim for high availability, but the Service is provided "AS IS" and "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. Support is provided by email; response targets vary by plan.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total aggregate liability under these Terms will not exceed the amounts you paid to TokenRouter in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be limited by law.
11. Indemnification
You will defend and indemnify TokenRouter against third-party claims arising from your content, your use of the Service in violation of these Terms or of law, or your violation of a provider's terms — provided we promptly notify you of the claim and reasonably cooperate at your expense.
12. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate the Service for material breach of these Terms, for non-payment, or where required to protect the Service or comply with law. On termination, your gateway keys stop working and stored provider keys are deleted as described in the Privacy Policy. Sections 6, 7, and 9 through 15 survive termination.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced by email or in the console at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance; if you do not agree to the updated Terms, cancel your subscription before they take effect.
14. Governing law and disputes
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. Before filing a claim, you agree to contact us at support@tokenrouter.io and give us 30 days to try to resolve the dispute informally. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in New Jersey, and both parties consent to their jurisdiction.
15. General
These Terms, together with the Privacy Policy, are the entire agreement between you and TokenRouter regarding the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
